1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of VAUT Studio®, including vaut.cc, related portals, communication channels, project workflows, and any services, products, software, automation systems, or digital platforms provided by VAUT Studio® (“VAUT”, “we”, “our”, or “us”).
By accessing our website, submitting a discovery request, engaging our services, or otherwise interacting with VAUT Studio®, you agree to be bound by these Terms.
If you do not agree with these Terms, you should not use our website or services.
2. Services
VAUT Studio® provides professional services including, but not limited to:
Product engineering
Product strategy
System architecture
Full-stack software development
AI systems and automation
AI agents and workflow integration
Digital platform and SaaS development
Enterprise software solutions
Technical consulting and operational optimization
All services are provided subject to project-specific proposals, agreements, statements of work, or other written arrangements.
3. Discovery & Consultations
Discovery sessions, consultations, audits, and initial assessments are intended to evaluate project requirements, technical feasibility, operational needs, and potential engagement options.
Submitting a discovery request does not create a client relationship, guarantee project acceptance, reserve development capacity, or obligate VAUT Studio® to provide services beyond the scope of the initial consultation.
4. Client Responsibilities
Clients are responsible for:
Providing accurate and complete information
Supplying necessary assets, content, credentials, and approvals
Ensuring they have the legal right to provide materials shared with VAUT Studio®
Responding to requests for feedback or approvals within a reasonable timeframe
Maintaining appropriate backups of their own data and systems unless otherwise agreed in writing
Delays in providing required information or approvals may affect project timelines, delivery schedules, and resource allocation.
5. Proposals, Pricing & Payments
Project pricing, payment schedules, deposits, milestones, subscriptions, retainers, and related commercial terms are defined in the applicable proposal, invoice, or service agreement.
Unless otherwise stated in writing:
Prices are quoted in USD.
Invoices are payable according to the specified payment terms.
Work may be suspended if required payments are overdue.
Taxes, duties, transaction fees, or other governmental charges are the responsibility of the client where applicable.
6. Intellectual Property
Unless otherwise agreed in writing:
Pre-existing VAUT Studio® tools, frameworks, templates, methodologies, libraries, automation components, and internal systems remain the property of VAUT Studio®.
Upon full payment of the applicable project fees, the client receives the rights expressly granted in the corresponding agreement for the delivered project assets.
VAUT Studio® retains the right to use general knowledge, experience, skills, ideas, concepts, and techniques acquired during the course of an engagement, provided that confidential client information is not disclosed.
7. Confidentiality
Both VAUT Studio® and the client agree to protect confidential information exchanged during discussions, discovery activities, project execution, and operational collaboration.
Confidential information includes business, technical, financial, operational, product, infrastructure, and strategic information that is identified as confidential or would reasonably be understood to be confidential under the circumstances.
This obligation does not apply to information that:
Is publicly available through no breach of these Terms,
Was already lawfully known to the receiving party,
Is independently developed without use of confidential information, or
Must be disclosed by law or valid legal process.
8. Acceptable Use
You may not use VAUT Studio® websites, forms, systems, or services to:
Engage in unlawful, fraudulent, or deceptive activities,
Upload malicious code, malware, or harmful content,
Attempt unauthorized access to systems or infrastructure,
Interfere with the operation or security of our services,
Infringe intellectual property or privacy rights, or
Misrepresent your identity, organization, or authority.
VAUT Studio® may suspend or restrict access to any user or client that violates these Terms or threatens the security or integrity of our systems or operations.
9. Third-Party Services & Integrations
Projects may involve third-party services, APIs, cloud providers, payment processors, hosting platforms, analytics tools, AI providers, or other external technologies.
VAUT Studio® is not responsible for the availability, security, functionality, pricing changes, outages, policies, or actions of third-party services beyond our reasonable control.
Use of third-party services is subject to the terms and policies of those providers.
10. Service Availability
While VAUT Studio® aims to maintain reliable operations and professional service delivery, we do not guarantee that our website, communication channels, portals, or services will be uninterrupted, error-free, or available at all times.
Scheduled maintenance, infrastructure updates, security measures, third-party outages, or circumstances beyond our reasonable control may affect availability.
11. Limitation of Liability
To the maximum extent permitted by applicable law, VAUT Studio® shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, business opportunities, goodwill, data, or operational interruption arising from or related to the use of our website or services.
VAUT Studio®’s total liability for any claim relating to a specific engagement shall not exceed the amount actually paid to VAUT Studio® for the services giving rise to the claim, unless otherwise required by applicable law.
12. Indemnification
You agree to indemnify and hold harmless VAUT Studio®, its owners, employees, contractors, affiliates, and service providers from any claims, damages, liabilities, costs, or expenses arising from:
Your misuse of our website or services,
Your violation of these Terms,
Materials or content you provide,
Your infringement of any third-party rights, or
Your unlawful or negligent conduct.
13. Related Portals
These Terms also apply, where relevant, to related VAUT Studio® portals and operational channels, including:

Additional terms or policies may apply to specific programs, portals, or services operated under the VAUT Studio® ecosystem.

VAUT Studio® may update these Terms from time to time to reflect changes in our services, business operations, legal requirements, security practices, or infrastructure.
Updated versions will be posted on our website with a revised Last Updated date. Continued use of our website or services after changes become effective constitutes acceptance of the updated Terms.
16. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws applicable to VAUT Studio®’s principal operating jurisdiction, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the use of our services shall be subject to the exclusive jurisdiction of the competent courts in the applicable operating jurisdiction, unless otherwise agreed in writing.
